IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SERVICES PROVIDED BY THE PLATFORM.

Farmlokal E-Wallet (issued by Getinroadz Innovations Private Limited ) Terms & Conditions

These terms and conditions (“Terms and Conditions”) govern your use of the Prepaid Farmlokal E-Wallet (“Farmlokal Wallet”) created on the Platform for your usage towards ordering Farmlokal services. This Farmlokal Wallet is the property of Getinroadz Innovations Private Limited (“GIPL”) to whom to whom it must be surrendered, upon request. The following terms and conditions shall apply to the prepaid account of your Farmlokal Wallet. By using the Farmlokal Wallet, you agree to the below mentioned Terms and Conditions. Please ensure that you have read carefully and understood these Terms and Conditions before using your Farmlokal Wallet and also request you to keep a copy of these Terms and Conditions for your records. You further agree that by using the Farmlokal Wallet, you confirm that you have read, understood and accepted the detailed Terms and Conditions of the Farmlokal Wallet.

Eligibility

To be eligible for the Farmlokal Wallet membership, you should be competent to enter into a contract i.e. you should have attained the age of majority according to the Indian law. Farmlokal Wallet is not targeted towards, nor intended for use by anyone who has not attained the age of majority. Any person under the age of 18, may only use the Farmlokal Wallet under the supervision of a parent or legal guardian who agrees to be bound by these Terms and Conditions.

About Your Account

Farmlokal Wallet is issued to you by GIPL. It allows you to load a rupee value onto your Farmlokal Wallet for use only on Farmlokal Platform. The value associated with the Farmlokal Wallet is not insured or guaranteed by any person or entity.

The rupee value that you load onto your Farmlokal Wallet is a prepayment only for purchasing the goods and availing the services on Farmlokal Platform in India unless otherwise specified.

Farmlokal Wallet can be loaded on Farmlokal Platform using either cash / credit card / debit card / upi / Internet Banking / any other RBI approved e-wallets managed and governed by other private or government entities .

GIPL reserves the right not to accept any Farmlokal Wallet or otherwise limit use of a Farmlokal Wallet if we reasonably believe that the use is unauthorized, fraudulent or otherwise unlawful. Further, misuse of the Farmlokal Wallet or its benefits in any manner may result in disablement of the Farmlokal Wallet and/or withdrawal of benefits at the sole discretion of GIPL. Please maintain the Farmlokal Wallet safely and securely.

Loading Value in your Farmlokal Wallet

Farmlokal Wallet is automatically created and enabled as soon as you register for Farmlokal Platform’s services while accepting these Terms and Conditions. The wallet gets activated by loading money in it either through cash / credit card / debit card / upi / Internet Banking / any other RBI approved e-wallets managed and governed by other private or government entities by visiting the Farmlokal website or Farmlokal mobile app. Farmlokal Wallet can be used as a mode of payment, whenever the Farmlokal Wallet-holder purchases goods or services from Farmlokal website or Farmlokal mobile app.The balance on the Farmlokal Wallet does not have a validity or expiry period.

GIPL may change the maximum and minimum amounts at any time by notifying you at the point of recharge, or on the Farmlokal website (www.farmlokal.com), and such change shall not constitute an amendment to these Terms and Conditions. No credit card, credit line, overdraft protection or deposit account is associated with a Farmlokal Wallet. The balance loaded onto your Farmlokal Wallet is non-refundable and may not be exchanged for cash or credit balance unless required by law in India. No interest, dividends or any other earnings on funds deposited to a Farmlokal Wallet will accrue or be paid or credited to you by GIPL.

All amounts loaded onto your Farmlokal Wallet are held and denominated in Indian Rupees.

Fees and Expiration of Wallet Balances

GIPL reserves its right, in its sole discretion and without any prior notice, to impose and/or revise charges/commissions in relation to your use of the Farmlokal Wallet. The current charges for your Wallet are provided hereunder , the same are subject to change;

Receipts and Statements

Farmlokal Wallet holders are not sent statements of itemized transactions on their registered email id from a Farmlokal Wallet account. You can check the balance of your Farmlokal Wallet or review recent transactions on your Farmlokal Wallet by logging into your Farmlokal account on www.farmlokal.com. or on the Farmlokal mobile app.

You will need to use your Farmlokal Wallet to make purchases for the goods and availing the services on Farmlokal Platform. When you use your Farmlokal Wallet, you will receive the details of your order and payment in the Account History section of your Farmlokal account. You should check your order and payments details to ensure that your account balance is correct

Billing Errors, Corrections

GIPL reserves the right to correct the balance of your Farmlokal Wallet if there is reason to believe that a clerical, billing or accounting error has occurred. If you have questions regarding your transaction history or any correction, or if you dispute any transaction or correction that has been assessed against your Farmlokal Wallet, please email your concern at info@Farmlokal.com. GIPL will conduct an investigation and communicate the results and correct any error that after conducting a thorough investigation in a reasonable time-frame. If no error is found, a suitable explanation shall be communicated to you. GIPL shall have no liability for any billing error unless you provide a notice within 30 days of the date of the transaction in question. You are requested to monitor your transactions and account balances accurately.

Registration, Liability for Unauthorized Transactions

You are responsible for all transactions associated with your Farmlokal Wallet, including transactions claimed to be unauthorised. The Farmlokal Wallet does not have a separate authentication password or PIN and can be used to make transactions once you have logged-in to the platform using Mobile Number-OTP authentication. The mobile application remains in a state of permanent log-in and anyone with access to your mobile phone can have access to your application and thereafter use your Farmlokal Wallet. You agree to take full responsibility of any unintended or unauthorised access to your Farmlokal Wallet.

Blocking of Farmlokal Wallet:

GIPL reserves the right to block your Farmlokal Wallet and/or discontinue, if GIPL determines or observes in its sole discretion that there has been any fraudulent or unauthorized activities through your Farmlokal Wallet.

Privacy Statement

You hereby authorise GIPL to disclose your information to Government authorities or to competent authorities or to credit bureaus or to other third persons, to comply with the obligation under the law. You also authorise GIPL to use your information for offering products and services to you, including from its associates/partners unless specified otherwise.

Changes to these Terms and Conditions

GIPL reserves the right to add, alter, amend and revise terms and conditions as well as the rules and regulations governing the Farmlokal Wallet without prior notice, and without assigning any reasons thereof. In the event of such changes, the latest terms & conditions will be updated and viewed on our website www.Farmlokal.com

Cancellation of these Terms and Conditions

We may suspend or terminate these terms and conditions and revoke or limit any or all of the rights and privileges granted to you at any time without notice or liability. Termination may also result from your fraudulent or unauthorized use of the Farmlokal Wallet.

Governing Law

All disputes, in connection with Farmlokal Wallet or its program shall be governed and construed in accordance with Indian Laws and are subject to the exclusive jurisdiction of Competent Courts at Gautam Buddha Nagar,Uttar Pardesh only.

Disclaimers and Limits of Liability

GIPL and its affiliates make no representations, warranties or conditions of any kind, express or implied, with respect to the Farmlokal Wallet, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement, or any warranty arising by usage of trade, course of dealing or course of performance. GIPL does not represent or warrant that your Farmlokal Wallets will always be accessible or accepted.

In the event that GIPL or its affiliates are found liable to you, you shall only be entitled to recover actual and direct damages and such damages shall not exceed the last balance held on your Farmlokal Wallet. GIPL and its affiliates shall have no liability for any incidental, indirect or consequential damages (including without limitation loss of profit, revenue or use) arising out of or in any way connected with this Agreement, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, even if GIPL or its authorized representatives have been advised of the possibility of such damages. In no event shall GIPL or its affiliates have any liability for unauthorized access to, or alteration, theft or destruction of a Farmlokal Wallet through accident, misuse or fraudulent means or devices by you or any third party, or as a result of any delay or mistake resulting from any circumstances beyond our control. GIPL is not liable for non-fulfilment of any terms in full or in part due to any reason beyond its control.

The laws of certain states or other jurisdictions do not allow limitations on implied warranties, or the exclusion or limitation of certain damages. If these laws apply, some or all of the above disclaimers, exclusions or limitations may not apply to you, and you may have rights in addition to those contained in these Terms and Conditions. In such jurisdiction, our liability is limited to the greatest extent permitted by law.

The decision of the management of GIPL is final and shall be binding at all times.

Assignment

We may assign all or part of these Terms and Conditions without such assignment being considered a change to these Terms and Conditions and without notice to you and shall be released from all liabilities The assignee shall have the same rights and obligations as the assignor and shall agree in writing to be bound by the Terms and Conditions.

Entire Terms and Conditions, Construction

These Terms and Conditions are the complete and exclusive between you and GIPL, and supersedes and merges all prior proposals and all or any other prior arrangement/agreements. In the event that any provision of these Terms and Conditions shall be determined to be illegal or unenforceable, that provision will be eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force, effect and shall be enforceable. Headings herein are for convenience of reference only and shall in no way affect interpretation of these Terms and Conditions.

Copyright & Trademark

GIPL, its suppliers and licensors expressly reserve all intellectual property rights in all text, programs, products, processes, technology, content and other materials, which appear on Farmlokal Platform. Access to this Platform does not confer and shall not be considered as conferring upon anyone any license under any of GIPL or any third party's intellectual property rights. All rights, including copyright, in this Platform are owned by or licensed to GIPL. Any use of this Platform or its contents, including copying or storing it or them in whole or part, other than for your own personal, non-commercial use is prohibited without the permission of GIPL. You may not modify, distribute or re-post anything on this Platform for any purpose.

The names and logos and all related product and service names, design marks and slogans are the trademarks or service marks of GIPL, its affiliates, its partners or its suppliers. All other marks are the property of their respective companies. No trademark or service mark, license is granted in connection with the materials contained on this Site. Access to this Site does not authorize anyone to use any name, logo or mark in any manner.

References on this Platform to any names, marks, products or services of third parties or hypertext links to third party sites or information are provided solely as a convenience to you and do not in any way constitute or imply GIPL endorsement, sponsorship or recommendation of the third party, information, product or service.

Getinroadz Innovations Pvt Ltd (“GIPL”) is the licensed owner of the brand Farmlokal and the website www.Farmlokal.com (”The Site”) from . GIPL respects your privacy. This Privacy Policy provides succinctly the manner your data is collected and used by GIPL on the Site. As a visitor to the Site/ Customer you are advised to please read the Privacy Policy carefully. By accessing the services provided by the Site you agree to the collection and use of your data by GIPL in the manner provided in this Privacy Policy.

Services overview

Account & Registration Obligations

All customers have to register and login for placing orders on the Site. You have to keep your account and registration details current and correct for communications related to your purchases from the site. By agreeing to the terms and conditions, the shopper agrees to receive promotional communication and newsletters upon registration. The customer can opt out either by unsubscribing in "My Account" or by contacting the customer service. However, accounts created on the website www.Farmlokal.com or the Farmlokal app would be for life time of the customers.

Pricing

All the products listed on the Site will be sold at MRP unless otherwise specified. The prices mentioned at the time of ordering will be the prices charged on the date of the delivery. Although prices of most of the products do not fluctuate on a daily basis but some of the commodities and fresh food prices do change on a daily basis. In case the prices are higher or lower on the date of delivery no additional charges will be collected or refunded as the case may be at the time of the delivery of the order.

Cancellation by Site / Customer

You as a customer can cancel your order anytime up to the cut-off time of the slot for which you have placed an order by calling our customer service. In such a case we will refund any payments already made by you for the order. If we suspect any fraudulent transaction by any customer or any transaction which defies the terms & conditions of using the website, we at our sole discretion could cancel such orders. We will maintain a negative list of all fraudulent transactions and customers and would deny access to them or cancel any orders placed by them.

Return & Refunds

Our Return and Refund policy entitles all our members to return the product at the time of delivery if due to some reason they are not satisfied with the quality or freshness of the product. We will take the returned product back with us and issue a credit note for the value of the return products which will be credited to your account on the Site. This can be used to pay your subsequent shopping bills.

You Agree and Confirm

That in the event that a non-delivery occurs on account of a mistake by you (i.e. wrong name or address or any other wrong information) any extra cost incurred by GIPL for redelivery shall be claimed from you.
That you will use the services provided by the Site, its affiliates, consultants and contracted companies, for lawful purposes only and comply with all applicable laws and regulations while using and transacting on the Site.

Governing Law and Jurisdiction

This User Agreement shall be construed in accordance with the applicable laws of India. The Courts at Gautam Buddha Nagar shall have exclusive jurisdiction in any proceedings arising out of this agreement. Any dispute or difference either in interpretation or otherwise, of any terms of this User Agreement between the parties hereto, the same shall be referred to an independent arbitrator who will be appointed by GIPL and his decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. The arbitration shall be held in Gautam Buddha Nagar. The High Court of judicature at Allahabad (Prayagraj) alone shall have the jurisdiction and the Laws of India shall apply.

Reviews, Feedback, Submissions

All reviews, comments, feedback, postcards, suggestions, ideas, and other submissions disclosed, submitted or offered to the Site on or by this Site or otherwise disclosed, submitted or offered in connection with your use of this Site (collectively, the "Comments") shall be and remain the property of GIPL. Such disclosure, submission or offer of any Comments shall constitute an assignment to GIPL of all worldwide rights, titles and interests in all copyrights and other intellectual properties in the Comments. Thus, GIPL owns exclusively all such rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments. Indemnity

You agree to defend, indemnify and hold harmless GIPL, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to GIPL or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfilment of any of your obligations under this User Agreement or arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of this User Agreement.

Termination

This User Agreement is effective unless and until terminated by either you or GIPL. You may terminate this User Agreement at any time, provided that you discontinue any further use of this Site. GIPL may terminate this User Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Site, Such termination will be without any liability to GIPL. However Account created on the website www.Farmlokal.com would be for life time of the customers. Upon any termination of the User Agreement by either you or GIPL, you must promptly destroy all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under the User Agreement or otherwise. GIPL's right to any Comments shall survive any termination of this User Agreement. Any such termination of the User Agreement shall not cancel your obligation to pay for the product already ordered from the Website or affect any liability that may have arisen under the User Agreement.
